By accessing or using this website (the "Site"), you agree to these Terms of Use and the related Privacy Policy and Website Disclaimer. If you do not agree, do not use the Site. If you use the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

Informational and Business-Development Purpose Only

The Site is provided for general informational and business-development purposes. Content may describe MDG's experience, capabilities, projects, market views, technologies and potential business relationships, but it is not intended to be a complete description of any investment, transaction, service, product or opportunity.

MDG may grant, condition, suspend or revoke access in its discretion, subject to applicable agreements. Website access does not confer any right to receive confidential information or participate in any investment or transaction.

Project and Experience Information

References to projects may include current MDG activity and relevant prior experience of MDG leadership. Project descriptions, images, values, sizes, unit counts, roles and other information are provided for illustrative and informational purposes and may change or be updated. No implication of ownership, sponsorship, development responsibility, authorship, endorsement or continuing affiliation should be inferred beyond the role expressly described.

Technology and Product Information

Technology, material, product, testing and application information is summary-level and may relate to particular samples, configurations, test conditions or contemplated uses. Such information is not a product specification, engineering opinion, code determination, certification, listing, assembly rating, warranty or representation of suitability for a particular use. No license or other right is granted except the limited right to access the Site in accordance with these Terms. Third-party names, marks, photographs and materials remain subject to the rights of their respective owners.

Submissions and Communications

Unless a separate written confidentiality agreement applies, information submitted through the public Site or ordinary email should not be considered confidential. Do not send trade secrets, passwords, banking information, wire instructions or other highly sensitive information through public website forms. MDG is not obligated to review, accept or respond to unsolicited proposals, investment materials, ideas or other submissions.

Third-Party Content and Links

References or links to third-party websites, products, services, platforms or organizations are provided for convenience or context and do not necessarily constitute endorsement. MDG does not control and is not responsible for third-party content, availability, privacy, security or practices.

Fraud and Impersonation Warning

Fraudulent websites, emails, social-media accounts or payment instructions can misuse legitimate company names and branding. Verify that communications purporting to be from MDG originate from an authorized MDG channel. Do not transmit funds or rely on new or changed payment instructions without independently verifying them through an established MDG contact using known contact information.

No Warranty

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MDG disclaims all express, implied and statutory warranties, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title and non-infringement. MDG does not warrant that the Site will be uninterrupted, secure, error-free or free of harmful components.

Limitation of Liability

To the fullest extent permitted by law, MDG and its affiliates, principals, officers, employees, agents, advisers, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost opportunities, lost data, business interruption or similar losses, arising out of or relating to the Site or reliance on Site content, even if advised of the possibility of such damages. To the extent a limitation on direct damages is permitted by applicable law, aggregate liability arising from use of the public Site will not exceed the greater of amounts, if any, paid by you specifically for use of the Site during the twelve months preceding the claim or one hundred U.S. dollars.

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless MDG and its affiliates, principals, officers, employees and agents from claims, liabilities, losses, damages and reasonable costs, including attorneys' fees, arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights.

Governing Law and Forum

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to any mandatory law to the contrary, you agree that any dispute arising out of or relating to the public Site or these Terms will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction and venue.

Severability; Waiver; Assignment

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect and the affected provision will be enforced to the maximum extent permitted by law. A failure by MDG to enforce any provision is not a waiver. You may not assign rights or obligations under these Terms without MDG's written consent; MDG may assign these Terms in connection with a reorganization, financing, sale or transfer of its business or assets.

Changes; Entire Website Agreement

MDG may revise these Terms from time to time. The revised Terms become effective when posted unless otherwise stated. These Terms, together with the Privacy Policy and Website Disclaimer, constitute the agreement governing your use of the public Site, but do not supersede any separate written agreement between you and MDG regarding a transaction, investment, service, technology product, confidential information or Investor Access.
